Case: Successful Closing of 

a Multi-Million-Dollar  Commercial Land

 and Fuel Station License Sale

Our attorney represented the seller in a complex, high-value transaction involving the sale of a commercial parcel of land in Phnom Penh together with the operating rights and business license for a branded fuel station. The deal closed on schedule, with full payment secured and a clean transfer of both the property and the franchise permit. The matter is a representative example of our transactional real estate practice, where careful structuring and disciplined execution protect sellers through every stage of a large deal. 

The Situation 

Our client, the seller, owned a substantial commercial land parcel in Phnom Penh's Toul Sangke area, along with the business license and operating rights for a branded gasoline station situated on the property. The buyers, a married couple, sought to acquire both the land and the station's franchise rights in a single coordinated transaction. Given the total value of the deal and the involvement of a third-party franchise brand, the sale required precise legal structuring from the outset.

 
The purchase price was set in the hundreds of thousands of dollars, USD. The buyers proposed to pay in four staged deposits, culminating in a final transfer payment, rather than a single lump sum at signing. That structure created real exposure for our client. Staged payments are common in large Cambodian real estate deals, but they leave a seller vulnerable if a buyer stalls partway through, ties up the property during negotiations, and then fails to complete the purchase. 

Our Approach 

We advised the seller to formalize the transaction through a written sale and purchase agreement covering both the land and the fuel station license, rather than relying on informal understandings between the parties. Several protections were built into the agreement.
We negotiated a staged deposit schedule with fixed deadlines for each installment, so that the seller's exposure was minimized at every phase of the deal. We included a penalty clause triggered by late or missed payments, giving our client a contractual remedy if the buyers failed to perform on schedule. We required each deposit to be paid and verified through bank transfer, creating a clear paper trail tied to the agreement rather than relying on cash or informal transfers. 


We coordinated the notarization and thumbprint execution of the agreement in the presence of both parties' representatives, along with witnesses, to ensure the contract would hold up if ever challenged. We also confirmed the underlying property was clean, meaning it carried no existing debt, mortgage, or third-party claim that could complicate the transfer, before allowing the deposit process to begin.

Because the sale bundled the land with the fuel station's franchise rights, we also confirmed the buyers' obligations regarding the transfer of the license itself, ensuring that the fuel brand's rights and equipment would pass to the buyers only once payment obligations were satisfied. 

The Outcome 

The buyers completed all four deposit installments on schedule, and the final payment was made in full. Bank transfer records confirmed each installment as it was received, giving our client verified proof of payment at every stage rather than having to rely on the buyers' word. The land title and the fuel station's business license were transferred to the buyers only after the full purchase price had cleared, exactly as the agreement required. No disputes arose over the deposit schedule, the penalty terms were never triggered, and the transaction closed cleanly with both parties' obligations fully satisfied.
For our client, the result was full and timely payment of a significant sale price, a documented and enforceable paper trail at every stage of the deal, and a clean exit from both the property and the fuel station license without any lingering liability. 

Why It Matters ? 

Large commercial sales that bundle real property with a licensed business, such as a franchised fuel station, carry risks that a simple land sale does not. Staged payments, franchise transfer obligations, and multi-party signing requirements all create points where a deal can go wrong if it is not carefully structured in advance.
